Perceptive Capital Solutions Corp, a special purpose acquisition company listed on Nasdaq under the ticker PCSC, and Freenome, a privately held biotechnology company focused on early cancer detection, have announced that the U.S. Securities and Exchange Commission has declared effective the registration statement for their proposed business combination.
The move brings the two companies one step closer to completing the merger, which was initially announced earlier this year. Freenome develops blood-based tests designed to screen for multiple types of cancer at early, more treatable stages. The company's lead product candidate targets colorectal cancer screening, an area where early detection significantly improves patient outcomes.
Under the terms of the deal, Freenome will become a publicly traded company. The transaction is expected to provide the biotech firm with additional capital to fund its clinical development programs and commercial preparation. Perceptive Capital Solutions Corp is a SPAC sponsored by an affiliate of Perceptive Advisors, a life sciences investment firm.
A special meeting of PCSC stockholders is expected to be called to vote on the business combination. If approved, the combined company will operate under the Freenome name and is expected to trade on Nasdaq under a new ticker symbol. The companies have not yet set a specific closing date, but both parties expressed optimism about completing the merger in the coming weeks.
